The Comcast Town Design Showdown Room Design Contest (the “Contest”) starts on April 23, 2009, at 12:01 A.M. Pacific Time (“PT”) and ends on June 15, 2009, at 11:59 P.M. PT (“Contest Period”).

Eligibility

The Contest is open to legal residents of the 48 contiguous United States and the District of Columbia who are 18 years of age or older. Employees of Comcast Cable Communications Management, LLC (“Sponsor”) and their respective parents, subsidiaries, affiliates, promotion and advertising agencies, and members of their immediate family (spouse and parent, children and siblings and their respective spouses, regardless of where they reside) and persons living in the same household, whether or not related, of such employees, are not eligible to enter or win. Void where prohibited by law. Contest is subject to all applicable federal, state and local laws.

How to enter

During the Contest Period, to enter the Contest, visit www.comcasttown.com (the “Website”) and follow the directions provided to register. Registration is free. Once you register, follow the links and directions provided to design your own room using the tools and assets provided (collectively, “Materials”) (collectively, the “Entry”); then submit. Room designs can only contain the Materials. Room designs that contain elements not provided as part of the Material will be disqualified. Room designs can be revised and resubmitted up until May 14, 2009, at 11:59 P.M. PT; however, after that time, no changes will be permitted. All Entries must be received by May 14, 2009, at 11:59 P.M. PT to be considered. Entries generated by script, macro or other automated means are void. Limit one (1) Entry per person, per e-mail address and per registrant. Entries received from any person, e-mail address or registrant in excess of the stated limitations will be void. All Entries become the sole property of the Sponsor and will not be returned. Entry into the Contest constitutes your consent for Sponsor to obtain, use and transfer your name, e-mail address and other details solely for the purposes of and as required to administer this Contest.

Entry must be the original work of the entrant (other than the Materials), may not have been previously published, may not have won previous awards, must not have been submitted in connection with any other contest, must be in keeping with Sponsor’s image, and must not infringe upon the copyrights, trademarks, rights of privacy, publicity or other intellectual property or other rights of any person or entity. Sponsor reserves the right to disqualify any Entry that it determines, in its sole discretion, is not in keeping with Sponsor’s image or that is otherwise not in compliance with these Official Rules.

Sponsor grants to eligible entrants a limited revocable, non-sublicensable license to use the Materials for the sole purpose of creating and submitting an Entry for review and assessment in this Contest or as otherwise set forth on the Website, and entrants may make no further use whatsoever of Materials or the Entry for any purpose whatsoever. In addition, entrant recognizes that all of Sponsor’s right, title and interest in Materials, as well as all derivative works created using Materials (including the Entry), shall vest exclusively to Sponsor, and entrant agrees that he/she shall not take any action that might harm or adversely affect Sponsor’s rights therein.

By submitting an Entry, entrant hereby grants permission for the Entry to be posted on the Website or other websites. Entrant agrees that Released Parties (as defined below) are not responsible for any unauthorized use of Entries by third parties. Released Parties do not guarantee the posting of any Entry. Entrants agree that they will not use the Entry for any other purpose, including, without limitation, posting the Entry to any online social networks, without the express consent of Sponsor in each instance.

Judging

First Judging Phase: All eligible Entries received by Sponsor will be judged to select seventy-five (75) semifinalists, by a panel of qualified judges, based equally on the following criteria: originality, use of space, use of color and use of Materials (the “Judging Criteria”). In the event of a tie, an additional “tiebreaking” judge will determine the semifinalist(s) based on the Judging Criteria. Sponsor reserves the right to advance fewer than seventy-five (75) semifinalists to the Second Judging Phase if, in its sole discretion, it does not receive a sufficient number of eligible and qualified Entries.

Second Judging Phase: All eligible semifinalist Entries will be judged to select ten (10) finalists by a second panel of qualified judges using the Judging Criteria. In the event of a tie, an additional “tiebreaking” judge will determine the finalist(s) based on the Judging Criteria. Sponsor reserves the right to advance fewer than ten (10) finalists to the Voting Phase if, in its sole discretion, it does not receive a sufficient number of eligible and qualified Entries.

Voting Phase: Finalists’ Entries will be featured at www.comcasttown.com between 12:01 A.M. PT on June 1, 2009, and 11:59 P.M. PT on June 15, 2009 (“Voting Period”). During the Voting Period, individuals who are at least 18 years of age will be invited to www.comcasttown.com to select their favorite finalist. Limit one (1) vote per person, per e-mail address, per day during the Voting Period. Votes received from any person or e-mail address in excess of the stated limitation will be void. Finalists are prohibited from obtaining votes by any fraudulent or inappropriate means, including, without limitation, offering prizes or other inducements to members of the public, as determined by Sponsor in its sole discretion. Subject to verification of eligibility and compliance with these Official Rules, the finalist that receives the highest number of valid votes, as determined by Sponsor, will be deemed the “Grand Prize winner.” In the event of a tie, a “tiebreaking” judge will determine the Grand Prize winner based on the Judging Criteria. Use of script, macro or any automated system to vote or with the intent to impair the integrity of the voting process is prohibited and all such votes will be void. Prize awards are subject to verification of eligibility and compliance with these Official Rules.

Winner Notification

Judges’ and Sponsor’s decisions are final and binding on all matters relating to this Contest. Potential winner will be notified by e-mail and may be required to complete an Affidavit of Eligibility, Liability and Publicity Release (unless prohibited by law) and any other documents required by Sponsor, which must be returned within five (5) days of date appearing on prize notification. Return of prize or prize notification as undeliverable, failure to sign and return requested documentation within the specified time period, the inability of Sponsor to contact a potential winner within a reasonable time period, or noncompliance with these Official Rules by the potential winner will result in disqualification and, at Sponsor’s sole discretion, the prize may be awarded to a runner-up. If potential winner is an eligible minor in his/her jurisdiction of residence, Sponsor reserves the right to award the prize in the name of his/her parent or legal guardian, who will be responsible for fulfilling all requirements imposed on winners set forth herein.

Prize

A 40-inch Sony BRAVIA HDTV, a VAIO AW laptop, a Philips digital phone, a room makeover with a retail value of up to $15,000, and $10,000 awarded as a check, which may be used toward the payment of taxes on prize. Approximate Retail Value (“ARV”) is $30,000. Makeover will take place on a day or days to be mutually agreed upon between Sponsor and Grand Prize winner. Components of makeover may include paint, fixtures and furnishings and are subject to Sponsor approval. Grand Prize winner is responsible for obtaining all permits, inspections and consents necessary to complete makeover and is responsible for securing any insurance with respect to room during and after makeover. While the Grand Prize winner is not obligated to retain the changes made to the room, Sponsor is not required to restore the room to its original condition. Also, Grand Prize winner will be required to provide written assurance of his/her willingness to participate in the makeover, and to provide a waiver of any liability in connection with the makeover as a condition of winning this Contest, including release of any liability relating to any damages that may occur in connection with the makeover. The makeover may be photographed, videotaped and otherwise recorded by Sponsor (collectively, “Makeover Footage”). Makeover Footage will be owned by Sponsor, who has the right to use, edit, adapt, post, stream, copy and exploit such Makeover Footage and all elements embodied therein, including any names and likenesses embodied therein, in any and all media now known or hereafter devised throughout the world, in perpetuity, for advertising, promotional, trade and other purposes. By accepting Grand Prize, Grand Prize winner agrees that his/her house and his/her name and likeness and those of any other individuals present during makeover may be included in the Makeover Footage, in Sponsor’s sole discretion, without any compensation to or permission of winner or any third party. Grand Prize winner agrees to assist Sponsor in retaining necessary third-party releases if requested by Sponsor to do so. If Grand Prize winner chooses to forego the makeover, no compensation or substitution will be provided in lieu thereof; however, remainder of prize package will be awarded, and Sponsor will have no further obligation to such winner. Any unspent component of makeover will not be awarded. Prize is awarded “as is” with no warranty or guarantee, either express or implied by Sponsor. Winner may not substitute, assign or transfer prize (or portion thereof) or redeem prize for cash (if non-cash portion of prize), but Sponsor reserves the right, at its sole discretion, to substitute prize (or portion thereof) with one of comparable or greater value. Winner is responsible for all applicable federal, state and local taxes, if any, as well as any other costs and expenses associated with prize acceptance and use not specified herein as being provided. All prize details are at Sponsor’s sole discretion.

General Conditions

By participating, each entrant agrees: (a) to abide by these Official Rules and decisions of Sponsor and judges, which shall be final and binding in all respects relating to this Contest; (b) to release, discharge and hold harmless Sponsor and their respective parents, affiliates, subsidiaries, and advertising and promotion agencies, and the respective officers, directors, shareholders, employees, agents and representatives of the foregoing (collectively, “Released Parties”) from any and all injuries, liability, losses and damages of any kind to persons (including death) or property resulting, in whole or in part, directly or indirectly, from entrant’s participation in the Contest or any Contest-related activity or the acceptance, possession, use or misuse of the prize (including any injury, harm or damage that may be caused as a result of the makeover); and (c) to the use of his/her name, voice, performance, photograph/video, image and/or likeness for programming, advertising, publicity and promotional purposes in any and all media, now or hereafter known, worldwide and on the Internet, and in perpetuity by Sponsor and its designees, without compensation (unless prohibited by law) or additional consents from entrant or any third party and without prior notice, approval or inspection, and to execute specific consent to such use if asked to do so. By participating, entrant also agrees not to release any publicity or other materials on their own or through someone else regarding their participation in the Contest without the prior consent of the Sponsor, which it may withhold in its sole discretion.

Ownership/Use of entries

By submitting an Entry, each entrant agrees that Sponsor shall own the Entry submitted (including all rights embodied therein) and that it and its designees may exploit, edit, modify and distribute the Entry and all elements of such Entry, in any and all media now known or hereafter devised (including, without limitation, its posting on the Website), worldwide, in perpetuity without compensation, permission or notification to entrant or any third party.

Miscellaneous

Released Parties are not responsible for lost, late, incomplete, damaged, inaccurate, stolen, delayed, misdirected, undelivered or garbled Entries; or for lost, interrupted or unavailable network, server, Internet Service Provider (ISP), Website, or other connections, availability or accessibility or miscommunications or failed computer, satellite, telephone or cable transmissions, lines, or technical failure or jumbled, scrambled, delayed, or misdirected transmissions or computer hardware or software malfunctions, failures or difficulties, or other errors or difficulties of any kind whether human, mechanical, electronic, computer, network, typographical, printing or otherwise relating to or in connection with the Contest, including, without limitation, errors or difficulties that may occur in connection with the administration of the Contest, the room design program, the processing or judging of Entries, the tabulation of votes, the announcement of the prize, or in any Contest-related materials. Released Parties are also not responsible for any incorrect or inaccurate information, whether caused by site users, tampering, hacking, or by any equipment or programming associated with or utilized in the Contest. Released Parties are not responsible for injury or damage to any person’s computer related to or resulting from participating in this Contest or downloading materials from or use of the Website. Persons who tamper with or abuse any aspect of the Contest or Website, who act in an unsportsmanlike or disruptive manner or who are in violation of these Official Rules, as solely determined by Sponsor, will be disqualified, and all associated Entries will be void. Should any portion of the Contest be, in Sponsor’s sole opinion, compromised by virus, worms, bugs, non-authorized human intervention or other causes which, in the sole opinion of the Sponsor, corrupt or impair the administration, security, fairness, proper play or submission of Entries, Sponsor reserves the right, at its sole discretion, to suspend, modify or terminate the Contest and, if terminated, at its discretion, select the potential winner from all eligible, non-suspect Entries received prior to action taken using the judging procedure outlined above. CAUTION: ANY ATTEMPT TO DELIBERATELY DAMAGE THE WEBSITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE CONTEST MAY BE IN VIOLATION OF CRIMINAL AND CIVIL LAWS; AND SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR RESERVES THE RIGHT TO SEEK DAMAGES AND OTHER REMEDIES (INCLUDING ATTORNEYS’ FEES) FROM ANY SUCH INDIVIDUAL TO THE FULLEST EXTENT OF THE LAW, INCLUDING CRIMINAL PROSECUTION.
